End user licence agreement — Interiu FDD
These terms are an agreement between you and Interiu AI S.L., Calle Maquinaria, 4, 3, 1, 07011 Palma de Mallorca, Spain, NIF B75247320 ("Interiu", "we"), for the use of the Interiu FDD add-in for Microsoft PowerPoint, Excel and Word and its updates (the "add-in"). If you use the add-in on behalf of a firm, "you" means you and that firm, and you confirm you may accept these terms for it. By installing or using the add-in you accept these terms; if you do not accept them, do not install or use it.
The add-in is supplied by Interiu, not by Microsoft. Microsoft is not a party to these terms and has no obligation to support the add-in.
1. Signed agreements take precedence
If your firm has a signed licence, pilot or services agreement with Interiu that covers the add-in, that agreement prevails over these terms where they differ.
2. Licence
The add-in is free to install. Its use within an organisation requires a licence from Interiu under a written agreement, which sets the fees, the number of users or documents and the term. Subject to these terms and to that agreement, Interiu grants you a non-exclusive, non-transferable, revocable licence to use the add-in for your firm's internal business purposes. A free evaluation may be agreed in writing for a limited period.
3. Restrictions
You must not: (a) copy, modify, translate or create derivative works of the add-in; (b) decompile, disassemble, de-obfuscate or otherwise try to obtain its source code, its rules or its knowledge base, except to the extent the law expressly allows despite this restriction; (c) remove or alter notices of ownership; (d) rent, sell, sublicense or make the add-in available to third parties, or use it to provide a service bureau; (e) use it to build a competing product; (f) circumvent its technical protections; or (g) use it in breach of law.
4. Your documents and your work
The add-in processes your documents on your computer and does not transmit their content to Interiu (see the privacy policy). You keep all rights in your documents. You are responsible for having the right to process the documents you check.
The add-in assists a reviewer; it does not replace professional judgement. It may miss errors and may flag figures that are correct. You and your firm remain solely responsible for the content of your reports, for deciding which findings to act on, and for your professional standards and obligations to your clients.
5. Feedback
If you send us suggestions or feedback (including files you choose to export from the add-in and send us), you allow us to use them to improve our products without obligation to you. Nothing in this clause entitles us to receive your clients' data.
6. Ownership
The add-in, its rules, knowledge base, design and documentation are owned by Interiu or its licensors and are licensed, not sold. Open-source components are licensed under their own licences, which these terms do not limit.
7. Updates and availability
The add-in's files are delivered from fdd.interiu.com, so improvements reach you without reinstalling. We may change or remove features. We aim to keep the service available, but do not guarantee uninterrupted access to it. A change that would make the add-in send document data is never introduced silently (see the privacy policy).
8. Warranty disclaimer
Unless a signed agreement says otherwise, and to the extent permitted by law, the add-in is provided "as is", without warranties of any kind, including that it will find all errors in a document, be error-free, or be fit for a particular purpose.
9. Limitation of liability
To the extent permitted by law, Interiu is not liable for indirect or consequential loss, loss of profit, revenue, business, goodwill or data, or for any decision taken on the basis of the add-in's findings or of findings it did not make. Interiu's total liability arising from the add-in in any twelve-month period is limited to the fees your firm paid for it in that period, or EUR 100 where no fees were paid. Nothing in these terms limits liability for wilful misconduct or gross negligence, or any liability that cannot be limited by law.
10. Termination
This licence ends automatically if you breach these terms or your firm's licence ends. You can end it at any time by removing the add-in. Sections 3–6, 8, 9 and 11 survive termination.
11. Law and courts
These terms are governed by Spanish law. The courts of Palma de Mallorca have exclusive jurisdiction, unless mandatory law gives you the right to bring proceedings elsewhere. The add-in is intended for business use; it is not offered to consumers.
